1. Relationship of Parties
You are joining the Nima Partner Program as an Independent Contractor. This agreement does not create a partnership, joint venture, agency, or employment relationship between you and NIMA by BUZZ THE GOLDENDOODLE LLC.
2. Commissions & Payouts
- Commission Rate: You will earn a 20% commission (unless otherwise negotiated) on the net revenue of successful, non-refunded subscriptions generated through your unique link.
- Minimum Payout Threshold: Payouts are triggered only once your "Available Balance" reaches $100.00 USD.
- The 30-Day Hold: To account for Apple/Google refund windows, all commissions remain in a "Pending" status for 30 days after the initial transaction.
- Payment Method: All payouts are processed via PayPal on a Net-30 schedule (processed by the 1st of the following month after hitting the threshold).
3. Refund & Chargeback Policy
If a referred user receives a refund from the App Store or Google Play Store, or if a credit card chargeback occurs, the corresponding commission will be deducted from your pending or future balance.
4. Ethical Marketing & Restrictions
To maintain the integrity of the Nima brand, you agree to the following:
- No Spam: Do not use unsolicited emails, automated scripts, or "bot" traffic to drive clicks.
- No "Nima" Bidding: You may not bid on "Nima," "Nima Meditation," or similar branded keywords in Google Ads, Meta Ads, or other search engines.
- Accuracy: Do not make medical claims. Nima is a wellness tool, not a medical device or a cure for clinical conditions.
- Disclosure: You must disclose your partnership (e.g., using #ad or "Nima Partner") in accordance with local advertising regulations (like the FTC).
5. Intellectual Property
You are granted a non-exclusive, revocable right to use Nima logos and marketing assets provided in the Partner Dashboard solely for the purpose of promoting the app.
6. Termination
We reserve the right to terminate your partner account and void all "Pending" commissions if we detect fraudulent activity, self-referrals, or a violation of these terms.
